We are beginning to image our in-house loan files (including notes and mortgages) and our deposit-related records, such as signature cards. Once a document has been scanned, can we destroy the original, or should we retain it for a certain period of time? Should we stamp the documents with a “scanned” stamp or “true and certified copy” stamp?

Generally, you do not need to retain hard copies of documents that have been scanned electronically, but we do not recommend scanning and shredding certain negotiable instruments, including documents that qualify as notes under Article 3 of the Uniform Commercial Code (UCC) — such as negotiable mortgage notes.

The general rule under Illinois law is that electronic versions of documents have “the same force and effect under the laws of this State” as documents in writing. Like the federal ESIGN Act, Illinois’s recently enacted Uniform Electronic Transactions Act (UETA) provides that an electronic record may not be denied legal effect or enforceability solely because it is in electronic form. The UETA also provides that an electronic record will satisfy a law requiring a record to be retained if it accurately reflects the information in the record and remains accessible for later reference.

However, the UETA generally does not apply to transactions governed by Article 3 of the UCC, which includes mortgage notes that are negotiable instruments, unless the electronic copy of the note meets the criteria to be considered a “transferable record.” A “transferable record” must be created, stored, and assigned in a manner such that:

(1) a single authoritative copy of the transferable record exists which is unique, identifiable, and, except as otherwise provided in paragraphs (4), (5), and (6), unalterable;

(2) the authoritative copy identifies the person asserting control as: (A) the person to which the transferable record was issued; or (B) if the authoritative copy indicates that the transferable record has been transferred, the person to which the transferable record was most recently transferred;

(3) the authoritative copy is communicated to and maintained by the person asserting control or its designated custodian;

(4) copies or revisions that add or change an identified assignee of the authoritative copy can be made only with the consent of the person asserting control;

(5) each copy of the authoritative copy and any copy of a copy is readily identifiable as a copy that is not the authoritative copy; and

(6) any revision of the authoritative copy is readily identifiable as authorized or unauthorized.

If an electronic copy of a note meets these criteria, then the person in control of the note would be the equivalent of a “holder” under Article 3 of the UCC with the power to enforce the note. However, your bank must have access to electronic storage capabilities that would allow you to meet these criteria (for example, at least one out-of-state court has confirmed the use of Fannie Mae’s e-note system for this purpose). Additionally, the official commentary to the UETA states that it was not intended to apply to paper notes that are converted into electronic records and then intentionally destroyed, and we are not aware of any courts that have confirmed the treatment of paper negotiable notes as transferable records. Consequently, we recommend retaining hard copies of mortgage notes that are treated as negotiable instruments under the UCC, in addition to mortgages and other recorded documents. (Certain mortgage notes may not be treated as negotiable instruments under the UCC if they include certain undertakings and conditions outside of the payment of money or contain a conspicuous statement that they are not negotiable.)

Additionally, we are not aware of any requirement to stamp documents that have been electronically scanned, but your bank may choose to do so for purposes of organization as you undertake the imaging of your hard files.

    • (d) Except as otherwise agreed, a person having control of a transferable record is the holder, as defined in Section 1-201(20) of the Uniform Commercial Code, of the transferable record and has the same rights and defenses as a holder of an equivalent record or writing under the Uniform Commercial Code, including, if the applicable statutory requirements under Section 3-302(a), 7-501, or 9-308 of the Uniform Commercial Code are satisfied, the rights and defenses of a holder in due course, a holder to which a negotiable document of title has been duly negotiated, or a purchaser, respectively.
